CLIENT: The individual or legal entity acquiring services through the online purchase process established on the website.

  • Response to inquiries within a maximum of 48 hours
  • Access to developed digital materials and resources

  • Compliance with personal data protection regulations
  • Compliance with applicable advertising regulations
  • Transparency in methodologies and processes used

Client’s Responsibilities

Provision of Information:
  • Provide complete and accurate business information
  • Provide access to necessary resources
  • Keep contact and billing information updated
  • Communicate relevant changes affecting service delivery
Payment Compliance:
  • Make timely payments according to the contracted service
  • Cover additional costs for extraordinary services requested
Active Collaboration:
  • Participate in scheduled follow-up meetings
  • Provide timely feedback on deliverables
  • Respect established timelines for reviews and approvals
  • Maintain fluent communication with the assigned team

ECONOMIC CONDITIONS

Pricing Structure

Prices are denominated in Mexican pesos (MXN) and include all services specified in each plan. Applicable taxes under Mexican tax law are not included and will be calculated and displayed prior to completing the purchase.

Mandatory Tax Information:

  • VAT (16%): Applied in accordance with current Mexican tax law
  • Withholdings: When applicable according to the client’s tax regime
  • Tax receipt: A CFDI will be issued in compliance with SAT requirements

Price Modifications

Fees may be adjusted with 30 calendar days’ prior notice. Active clients will maintain the contracted price for an additional 60 days before new rates apply.

INTELLECTUAL PROPERTY AND COPYRIGHT

Provider’s Rights

  • Software and platforms: Exclusive ownership of developed systems
  • Methodologies: Proprietary frameworks and specialized processes
  • XtrategixLab brand: Trademark rights and brand identity elements
  • Technical developments: Tools and resources created internally

Client’s Rights

  • Original content: Ownership of specifically created materials
  • Business strategies: Exclusive rights over developed plans
  • Business data: Ownership of provided business information
  • License of use: Perpetual rights over delivered outputs

Licensing

The client grants a non-exclusive license to use their brand and information solely for the purpose of delivering the contracted service. This license expires upon termination of the contractual relationship.

CONFIDENTIALITY AND RESERVED INFORMATION

Scope of Confidentiality

Both parties agree to maintain absolute confidentiality regarding:

  • Business strategies and plans
  • Financial information and sensitive business data
  • Internal methodologies and work processes
  • Campaign results and market analysis

Note: The processing of personal data is governed by the Privacy Policy available on the website.

Duration of Obligation

Confidentiality obligations remain in force during the contractual relationship and for an additional period of 3 years after its termination.

Exceptions

Information shall not be considered confidential if:

  • It is public domain without violation of this agreement
  • It was independently developed by the receiving party
  • It is required by a competent authority by legal order
  • It is necessary to comply with tax or regulatory obligations

TERMINATION AND CANCELLATION

Termination by Client

  • Free cancellation: No penalty with 30 days’ notice
  • Process: Written notice to informacion@xtrategixlab.com
  • Effects: Service suspension at the end of the paid period
  • Final delivery: Transfer of files and access within 15 business days

Termination for Breach

The provider may terminate the contract for:

  • Non-payment: Delay exceeding 15 calendar days
  • Misuse: Use of services for illicit purposes
  • Material breach: Substantial violation of contractual obligations
  • False information: Intentionally providing incorrect data

Effects of Termination

  • Services: Immediate suspension of service delivery
  • Access: Revocation of credentials and permissions
  • Data: 30-day grace period for recovery
  • Outstanding obligations: Remain in effect until settled

LIMITATIONS AND EXCLUSIONS OF LIABILITY

Warranty Limitations

The provider does not guarantee:

  • Specific results: Predetermined metrics or commercial goals
  • Full compatibility: With all existing digital platforms
  • Absolute availability: Of integrated third-party services
  • Complete accuracy: Of data provided by external sources

Exclusion of Liability

The provider assumes no liability for:

  • Indirect damages: Lost profits, loss of opportunities
  • Third-party acts: Platforms, suppliers, or authorities
  • Force majeure: Events beyond reasonable control
  • Misuse: Use contrary to specifications

Indemnification Limits

The provider’s total liability is limited to the total amount paid by the client within the 12 months prior to the event giving rise to the claim.

DISPUTE RESOLUTION

Entire Agreement

These conditions, together with the privacy policy and technical documents of each service, constitute the entire agreement between the parties.

Assignment of Rights

Rights and obligations arising from this contract may not be assigned without the express prior written consent of the counterparty.

Survival of Clauses

The following remain in force after termination:
